State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Harvard Bioscience, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the period ended March 31, 2016 (the “Report”) by the prescribed date of May 10, 2016 due to the significant and additional time and resources that were required with respect to both the forensic investigation initiated by the Company following its discovery of the alleged embezzlement and concealment at Denville Scientific, Inc., one of its wholly-owned subsidiaries, as well as the filing of its Form 10-K for the fiscal year ended December 31, 2015 (the “Form 10-K”) and completion of the audit and related testing pertaining to such Form 10-K and financial statements contained therein. The Company is working to complete the Report as expeditiously as possible in an effort to file the Report no later than May 16, 2016.
